The Monogatari Corporation (hereinafter referred to as “our company”) conducts IR activities (public relations with stockholders and investors) based on the following policy, and aims to be a company that earns the trust and understanding of all stockholders and investors.
Basic policy on the disclosure of information
In order to provide information that is timely, accurate and fair to all stockholders and investors, our company observes existing laws and regulations such as the Financial Instruments and Exchange Act as well as the rules on the timely disclosure that have been established by the Tokyo Stock Exchange, and quickly discloses important information. Also, we actively and fairly disclose information that does not fall under important matters as stipulated by rules on the timely disclosure to the extent possible, in order to earn the understanding of all stockholders and investors.
Method for disclosing information
Regarding information that falls under important matters as stipulated by rules on the timely disclosure, we first give an advance explanation to the Tokyo Stock Exchange, and then disclose the information through TDnet (a system for the transfer of disclosed information that is managed and used by the Tokyo Stock Exchange as well as other domestic stock exchanges). We quickly post the information that is disclosed through TDnet on our company’s website. However, due to the status of the system and other factors, there may be a delay in posting information on our company’s website.
Regarding information that does not fall under matters as stipulated by rules on the timely disclosure as well, we disclose it accurately and fairly, according to the degree of importance as well as urgency, with proper methods, based on the intent of the disclosure of information.
Setting of quiet periods (periods of self-restraint in IR)
In order to prevent the leak of information on financial results and ensure fairness, our company defines a period from the day following the account settlement date until the day of the release of our financial results as a quiet period. Please be aware that, during this period, we will refrain from issuing any comments or responses to questions related to our financial results. However, in a case where an already released earnings forecast is revised during a quiet period, we will disclose information in accordance with the rules on the timely disclosure.
Regarding future outlooks
Information such as our company’s plans and outlook for the future may be posted in our website. Please be aware that such plans and outlooks for the future are determined through our company’s judgement based on currently available information, and that there may be major differences between the outlooks and the results of our performance due to external factors such as environmental changes.
Positioning of our website
Our company’s website presents information for the convenience of all those who wish to browse our company’s information on the Internet. For the fair disclosure of information, we quickly post relevant information to our company’s website after the release of information, but posting may be delayed due to a technical glitch or the like. Also, there are cases where some of the information disclosed by our company are not posted on the website. Furthermore, we may adjust the information to make it more understandable in our website, so there may be differences from information that was disclosed with other methods.
